  1. NetSpeak Corporation WebPhone(TM) Version 1.0 License Agreement

  3. BY INSTALLING AND RUNNING THIS SOFTWARE PROGRAM YOU 
  4. ARE AGREEING TO BE BOUND AND ARE BECOMING A PARTY 
  5. TO THIS AGREEMENT.  IF YOU DO NOT AGREE TO THE TERMS 
  6. OF THIS AGREEMENT, DO NOT CONTINUE THIS INSTALLATION 
  7. AND DELETE ANY PORTIONS OF THIS SOFTWARE ALREADY 
  8. INSTALLED ON YOUR DISK DRIVE.

  10. GRANT  
  11. NetSpeak Corporation ("NetSpeak") grants to you a non-exclusive 
  12. license to use its WebPhone(TM) voice communications software 
  13. product ("Software"). You may freely distribute copies of the
  14. Software provided the following conditions are met: 
  15.  
  16. (a) This license agreement must accompany the Software.  
  17. (b) You may not, or may not permit other individuals to: modify, 
  18.     translate, reverse engineer, decompile, or create derivative works 
  19.     based on the Software, or remove any proprietary notices or labels 
  20.     on the software.

  22. SOFTWARE
  23. NetSpeak reserves the right to at any time to alter prices, features, 
  24. capabilities, functions, licensing terms, release dates, general 
  25. availability or any other characteristics of the commercial versions 
  26. as NetSpeak sees fit.
  27.  
  28. TITLE 
  29. Title, ownership rights, and intellectual property rights in and to 
  30. the Software shall remain in NetSpeak. The Software is protected by 
  31. the copyright laws of the United States and international copyright 
  32. treaties.
  33.  
  34. DISCLAIMER OF WARRANTY 
  35. Since the Software is provided free of charge, the Software is 
  36. provided on an "AS IS" basis, without warranty of any kind, 
  37. including without limitation the warranties of merchantability, 
  38. fitness for a particular purpose and non-in fringement. The entire 
  39. risk as to the quality and performance of the Software is borne by 
  40. you.  Should the Software prove defective, you and not NetSpeak 
  41. assume the entire cost of any service and repair. This disclaimer of 
  42. warranty constitutes an essential part of the agreement. Some 
  43. states do not allow exclusions of an implied warranty, so this 
  44. disclaimer may not apply to you and you may have other legal rights 
  45. that vary from state to state or by jurisdiction.

  47. LIMITATION OF LIABILITY
  48. Under no circumstances and under no legal theory, tort, contract, 
  49. or otherwise, shall NetSpeak or any other person be liable for any 
  50. indirect, special, incidental, or consequential damages of any 
  51. character including, without limitation, damages for loss of 
  52. goodwill, work stoppage, computer failure or malfunction, or any 
  53. and all other commercial damages or losses. In no event will 
  54. NetSpeak be liable for any damages whatsoever.

  56. MISCELLANEOUS
  57. This Agreement represents the complete agreement and supersedes 
  58. all prior agreements and representations between the parties. It 
  59. may be amended only by a writing executed by both parties. If any 
  60. provision of this Agreement is held to be unenforceable for any 
  61. reason, such provision shall be reformed only to the extent 
  62. necessary to make it enforceable.  This Agreement shall be governed 
  63. by and construed under Florida law as such law applies to agreements 
  64. between Florida residents entered into and to be performed within 
  65. Florida, except as governed by Federal law. The application the 
  66. United Nations Convention of Contracts for the International Sale 
  67. of Goods is expressly excluded.

  69. Use, duplication or disclosure by the Government is subject to 
  70. restrictions set forth in subparagraphs (a) through (d) of the 
  71. Commercial Computer -Restricted Rights clause at FAR 52.227-19 
  72. when applicable, or in subparagraph (c)(1)(ii) of the Rights in 
  73. Technical Data and Computer Software clause at DFARS 252.227-7013, 
  74. and in similar clauses in the NASA FAR Supplement.
